1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Zoviq AI Technologies Inc. (“Zoviq AI,” “we,” “us,” or “our”), located at 275 boul. Curé-Labelle, Laval, QC H7V 0E4, Canada. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

Zoviq AI provides artificial intelligence consulting, development, and deployment services, including but not limited to AI strategy and governance, custom AI agent development, AI chatbot development, AI system integration, website development with AI features, and cloud infrastructure and DevOps services.

The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written proposal, statement of work, or services agreement (“Service Agreement”). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail.

3. Intellectual Property

You retain all rights, title, and interest in and to your data, content, and materials that you provide to us (“Client Materials”). Upon full payment, you own the custom deliverables we create specifically for you under a Service Agreement.

Zoviq AI retains all rights, title, and interest in and to its pre-existing intellectual property, tools, methodologies, reusable frameworks, libraries, and know-how, including any improvements or enhancements developed during an engagement. We grant you a non-exclusive, perpetual license to use such reusable components solely as incorporated into your deliverables.

4. Payment Terms

Fees, payment schedules, and billing arrangements are specified in the applicable Service Agreement. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may be subject to interest and may result in suspension of services. All fees are exclusive of applicable taxes, which are your responsibility.

5. Client Responsibilities

You agree to provide accurate information, timely feedback, and the access, materials, and cooperation reasonably necessary for us to perform our services. You are responsible for ensuring that any Client Materials you provide do not infringe the rights of third parties and comply with applicable laws.

6. Warranties Disclaimer

Our services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Zoviq AI disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services or any AI outputs will be uninterrupted, error-free, or that AI-generated results will be accurate, complete, or suitable for any specific purpose. You are responsible for reviewing and validating any outputs before relying on them.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Zoviq AI and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or in connection with these Terms or our services, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to an engagement will not exceed the total fees paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the event.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement and to use it only for the purposes of fulfilling its obligations. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Termination

Either party may terminate an engagement in accordance with the terms of the applicable Service Agreement. We may suspend or terminate your access to our services if you materially breach these Terms. Upon termination, you remain responsible for fees for services performed up to the effective date of termination. Provisions that by their nature should survive termination — including intellectual property, confidentiality, warranties disclaimer, and limitation of liability — will survive.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the Province of Quebec to resolve any dispute arising out of these Terms or our services.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
